Kiri Dyes acquires German company Dystar for Rs 1,300 crore

AHMEDABAD: Ahmedabad-based dyes and derivative products manufacturer Kiri Dyes and Chemicals Ltd. (KDCL) has concluded the acquisition of German

multinational Dystarfor Rs 1,300 crore. The buyout was through its group firm Kiri Holdings Singapore. The bidding ended on February 2, 2010 followed by agreements to take over the company. Dystar Group is engaged in the business of dyes and related solutions.
The process of acquisition began about two months ago when Kiri Holding Singapore Pvt. Ltd. entered into asset purchase agreement with the Insolvency Administrator in Germany on December 4, 2009. KDCL has now fulfilled all conditions of the agreement in terms of financing, anti-trust clearance, approval from creditors' committee of Dystar etc. It has also secured debt financing from a consortium of banks led by SBI, Exim bank, Oriental Bank of India and Central Bank of India, said company chairman Pravin Kiri.

To convert the insolvent Dystar into a profitable company and unlock its value for its shareholders, KDCL was advised by SBI Capital Markets Ltd and its German counterpart Angermann M&A International in this acquisition. "Synergies of Dystar and KDCL along with partnership of Longsheng ( a Chinese company with whom KDCL has a JV in Gujarat) will provide long term sustainable and successful future to Dystar. Dystar and KDCL will jointly strengthen global leadership and will create high values for all their stakeholders such as investors, employees, creditors, vendors, etc," said Shankarlal Patel, director, KDCL.

Dystar is the global market leader for dyes, dye solutions, leather, performance chemicals, new technologies and custom manufacturing of special dyes and pigments with about 21% share globally. It provides high quality products and services across the whole value chain in various sectors like apparel, hosiery, automotive, carpets and home upholstery as well as industrial fabrics. It has sales and technical support presence in all key markets; agencies in 50 countries and 18 production facilities in 12 countries with total employee strength of 3,500. The group achieved sales of approximately 800 million Euro in CY 2008.

KDCL was incorporated at Ahmedabad in 1998 and converted into Limited company in May 2006. KDCL scrip attained its all time high level of Rs 877 on Thursday before closing at Rs 809.75 on the BSE.

要是被中国企业买了就好了。就可以为中国印染市场作贡献了。印度人在资本操作方面还是稍强些。

新加坡Kiri现在应该算龙盛控股吧

After having acquired Germany-based DyStar, the global leader for dyes and dyes solutions, Kiri Dyes and Chemicals Ltd (KDCL) will shift product manufacturing base of the former to India and China.

KDCL through its special purpose vehical (SPV) Kiri Holding Singapore Pvt Ltd has acquired Dystar Group with the help of its Chinese joint venture partner Longsheng Group. "We have paid an enterprise value of Rs 1350 crore for acquiring the multinational giant," said Manish Kiri, managing director, KDCL.

As per the restructuring plan chalked out by KDCL, the product manufacturing base will be moved to India and China. "Post restructuring, DyStar's products, which earlier used to be made in Europe, will now be produced in India, where KDCL has three plants. Also, some of the product manufacturing will be shifted to China as its JV partner Longsheng has it facility in the neighbouring country," Kiri added.

Kiri Dyes has no plans to reduce the number of employees with DyStar. "The headcount at DyStar will not be reduced. The DyStar had already trimmed the manpower before we acquired the German company," he explained when asked about restructuring of DyStar's labour strength.

现在龙盛的子公司桦盛拥有kiri新加坡一股股票，加上2200万欧的可转债，所以龙盛就是潜在的大股东。
而且龙盛这一招很高，没直接出手，避免了来自于国内的收购竞争，降低收购成本；二是先期以可转债方式参与，一定程度上控制了并购风险。

以最新汇率100INR=1.57EUR计，收购价格约合8.32亿欧元。印度几家商业银行在最后时刻终于同意融资，看来KIRI还是费了不少周折。

Huntsman出售爽约那次，是多少钱，还有谁记得吗？看来，印染行业的确是夕阳工业了，哪怕是全球最大的巨无霸，身价也跟个过气明星似的，一年掉几次价。

染料是一个发展了一百多年的东东，夕阳化已经是固定的了，

传说克莱恩的染料部门会被出售，不知是真是假啊。。

应该是130亿卢比。

染料行业的发展趋势应该放在营运模式的变革上，而不是放在所谓的产品研发上。
可惜明白这个道理的人不多。

营运模式固然重要，但产品研发更重要，所有行业不管是所谓的夕阳产业还是朝阳产业都这样，做实业的人都知道

crore是指1000万呀，应该是130亿啦，一家破产的公司能卖到200亿？

很奇怪,在Yahoo字典里面，

不过在google的翻译里面就是 亿卢比了；

在这里不妨披露一些KIRI与德司达之间的一些协议：
1：德司达将作为一个独立的公司继续运作下去，雷马素/丽华实/阴丹士林/印漂牢等著名品牌继续存在。
2：KIRI不参与德司达的日常管理。
3：KIRI的产品不符合德司达的标准，不可以用德司达的品牌进行销售（即使它是老板）

如此看来，德司达将和以往一样，并未伤筋动骨（未被拆分），只是老板变了，而这一点非常正常，看看欧洲的这几家染料公司，这些年来不断的分化组合，又被卖来卖去，城头变幻大王旗，老板换了又换。只要队伍还在，弹药粮草恢复供应，要不了2-3月，凭借深厚的功底，德司达将很快恢复生机。

不过以上三点均是安慰性条款。或者说是为了完成收购必须写在协议上的。
第一条，对KIRI（龙盛）实际上是有利的。事实上龙盛一直想淡化此次收购中的中国背景。
第二条，空话。股东一般不参与公司运作。管理公司的是CEO，而CEO必须得到董事会的提名和任命。
第三条，空话。主要是安慰下客户。事实上对内部采购不会有任何影响。

在商业活动中，没有人是雷锋。KIRI（龙盛）也不例外。
